Terms and Conditions

These Terms and Conditions (“Terms”) govern the business relationship between Indus Textile Valley (“the Company”) and its clients (“the Client”). By engaging in business with the Company, the Client agrees to be bound by these Terms.

  1. Scope of Services

1.1 The Company provides textile procurement, manufacturing (Cut, Make, Trim), private labeling, tagging, printing, embroidery, packaging, and logistics coordination services.
1.2 Certain services, including but not limited to private labeling, tagging, printing, embroidery, packaging, freight forwarding, and insurance, are facilitated through third-party vendors and service providers (“Vendors”).

  1. Lead Times

2.1 The estimated lead time for production and delivery will be communicated to the Client at the time of order confirmation. Lead times are subject to:

  • Procurement delays from suppliers.
  • Customization complexities such as printing, embroidery, or tagging.
  • Vendor timelines for packaging and related services.
  • Shipping and customs clearance times.

2.2 The Company shall not be held liable for delays arising from unforeseen circumstances, including but not limited to vendor delays, supply chain disruptions, or force majeure events.

  1. Third-Party Services

3.1 The Company engages third-party Vendors for services including but not limited to:

  • Private labeling, tagging, and printing.
  • Embroidery and packaging.
  • Freight forwarding for shipping by sea or air.
  • Insurance coverage for shipments.

3.2 While the Company ensures due diligence in selecting reputable Vendors, it does not assume any liability for errors, delays, or omissions caused by these Vendors. Any claims or disputes related to third-party services must be addressed directly with the respective Vendor.

  1. Insurance

4.1 Upon request, the Company may facilitate the purchase of shipment insurance through a reputable insurance provider. 4.2 The Company is not the insurer and assumes no liability for coverage disputes, claim rejections, or payout delays. 4.3 Insurance terms, conditions, and limitations are subject to the issuing insurer’s policy, which will be shared with the Client. It is the Client’s responsibility to review and understand these terms.

  1. Freight and Shipping

5.1 The Company coordinates freight forwarding services via third-party logistics providers. Shipping costs, transit times, and customs clearance are subject to the policies of the chosen freight forwarder and the destination country’s regulations. 5.2 The Company shall not be held liable for:

  • Shipping delays caused by the freight forwarder, customs clearance, or port operations.
  • Loss or damage to goods during transit unless covered under an insurance policy arranged by the Client or facilitated by the Company.
  1. Quality Assurance

6.1 The Company ensures that all manufacturing and CMT processes meet agreed-upon specifications provided by the Client. 6.2 Minor deviations in product specifications, color, size, or design due to production constraints will not constitute a breach of contract. 6.3 The Company is not liable for defects or issues resulting from third-party services such as embroidery, printing, or packaging.

  1. Payment Terms

7.1 Payment terms, including deposit requirements, payment schedules, and currency, will be outlined in the order confirmation. 7.2 The Company is not responsible for delays in production or shipment due to late payments by the Client.

  1. Limitation of Liability

8.1 The Company’s liability is limited to the value of the goods produced under the confirmed order. 8.2 The Company shall not be liable for:

  • Indirect, incidental, or consequential damages, including loss of profit or revenue.
  • Delays caused by third-party Vendors, freight forwarders, customs, or regulatory authorities.
  • Claims arising from insurance disputes or denied coverage.
  1. Indemnification

The Client agrees to indemnify and hold harmless the Company, its employees, and agents from any claims, damages, or expenses arising from:

  • Delays or failures caused by third-party Vendors.
  • Issues related to shipping, customs clearance, or transit.
  • Insurance claims or disputes with the insurance provider.
  1. Force Majeure

The Company shall not be held liable for delays or failures caused by events beyond its control, including but not limited to natural disasters, acts of God, war, strikes, pandemics, or government actions.

  1. Governing Law and Dispute Resolution

11.1 These Terms shall be governed by and construed in accordance with the laws of Pakistan.
11.2 All disputes arising out of or in connection with these Terms shall be resolved under the Mediation and Arbitration Act of Pakistan. Any unresolved disputes shall be referred to arbitration in accordance with the rules of the Arbitration Act, with the venue being Karachi, Pakistan.

  1. Acceptance of Terms

By placing an order with the Company, the Client acknowledges and agrees to these Terms and Conditions. Any amendments to these Terms must be agreed upon in writing by both parties.
